A Company Seal (sometimes called a ‘Common Seal’ is a requirement for all Irish companies and Irish law sets out particular rules around their use. Here is a handy guide.
A company seal is made from two plastic or metal plates that are engraved with your company name. When the two plates are pressed together on a document; the name of the company is stamped into the paper.
Seals must state the exact registered of the company (abbreviations are allowed for the company type i.e. Ltd). Logos, registration numbers and other symbols can also be used as part of the design.
Documents that can be executed by signature are ‘written contracts’, whereas documents that must be executed under seal are called ‘deeds’. The main difference between these two types of documents is that there is no requirement for consideration that a deed be binding, but for a written contract to be binding, there must be consideration.
A company seal can only be used by the company directors, or a committee of directors who have been duly authorised by its directors.
Unless the company’s constitution provides otherwise, any document to which a seal is affixed must be signed by a director and countersigned by the company secretary or by a second director or some other person appointed by the directors or committee of directors.
